Though any business is profit-oriented, what determines its reputation is its business ethics. Their reputation is usually reflected in its accounting procedures.
Even if a business organization follows ethical accounting standards, there is a chance it will face a financial loss due to external factors, such as a decrease in purchase orders, shortage of raw materials, transport problems and so on. These are times when businesses need guidance. This guidance is offered by business lawyers.
Unlike injury lawyers or civil and criminal lawyers, who work in courts of law, a great majority of business lawyers work in private firms as legal advisors on consultancy terms, or for the Federal and state government.
Business lawyers help businesses grow without any problems with Federal and state rules and regulations. For example, one business lawyer may help a business firm to raise its capital. Another business lawyer may help a commercial firm by letting all employees sign an agreement so as to prevent its employees from starting their own competing businesses using the firm’s trade secrets.
Business lawyers are specialized in handling all important aspects of running a good and effective business enterprise on ethical principles. They handle dealer practices, contracts of employment, mergers and acquisitions, securities, shareholder issues, trade secrets, business fraud and all other related issues. Many business lawyers represent the business organization for which they work, in any dispute.
Some business lawyers also handle cases for individual employees in business houses, for example in a case when a worker is fired without being paid the compensation that he deserves. Business lawyers in Florida work in specialized areas such as antitrust and trade regulations, business litigation, labor and employment, taxes, workers’ compensation and other related matters.
All lawyers working in Florida are obligated to be members of the Florida Bar Association, an official organ of the Supreme Court of Florida. The bar regulates the functioning of all certified lawyers in the state.
The official website of the Florida Bar Association, http://www.floridabar.org, is an excellent resource for finding business lawyers in the Sunshine State. Apart from guiding interested businesses and individuals to locate business lawyers in Florida, the website hosts pamphlets of information on `Buying a Business Opportunity,’ `Buying a Franchise,’ `Client’s Security Fund,’ and other topics which will be of immense use to a business owner or a prospective business owner.

Franchising has been in the Philippines for 94 years. With the entry of Singer Sewing Machine in 1910 which introduced product distributorship. Numerous companies embraced this concept as their vehicle for business expansion over the years. From 1910 to 1965, businesses staked their flags in the Philippine economy through PRODUCT DISTRIBUTORSHIP. Some of these multinationals were tire and pharmaceutical companies.
The take off was slow in the early years as the succeeding companies like A&W Restaurant known for its root beer entered in 1965. The first outlet was established on Highway 54 (now popularly and historically known as Epifanio Delo Santos Avenue or EDSA) near the Big Dome-Araneta Coliseum. The concept was a drive-thru where women food attendants garbed in mini-skirts, black stockings and in roller skates would serve customers inside the comfort of their cars. Trays clamped by the side of the door and mugs with cold refreshing root beer partnered with foot long hotdogs were served. Its set-up was exactly the same as found in the US branches during those years. What this company brought was another form of franchising, which is known as Business Format. From then onwards most entrants into the market embraced this concept, in fact, so widely used not only in the Philippines, but all worldwide.
Product Distributorship
This is a form of franchising where owners of products allow other parties to sell or distribute their products or even use their trademark as a dealer. There is minimal or no control of operations. The relationship is centered on the quality of products sold.
Business Format
A form of franchising used by 90% of companies involved in franchising. This is the reason why franchising is considered the most successful way of expansion worldwide.
In business format, the franchisor, more than his registered trademark and products, has developed a business system that is made available for use to franchisees. Compliance to the business system is the core and essential element of their contractual relationship embodied in a franchise agreement.
The first survey of franchising in the Philippines done in 1995 revealed that there were a total of 50 operating foreign franchisors at that time. The success rate of foreign franchisees is 97%. In 2003, there were 315 foreign franchisors in the country with 87% success rate.
Philippine Based (Home-Grown) Franchises
Earliest recorded homegrown company that used business format franchising was PANCAKE HOUSE. It was franchising since 1978. PANCAKE HOUSE is still active in franchising and has transferred ownership a few years back.
In 1996, there were 94 companies using franchising as their route to expansion and the number has substantially increased to 481 in 2003. The success rate is a good 90%.
Philippine Franchise Scenario
Franchising in the country evolved from the US Franchise System. There are, however, no laws that regulate franchising. Companies and franchise developers use international franchise practices as reference and as a guide to pursuing this type of business. The increasing number of homegrown companies using franchising in their expansion can be attributed to the presence and increasing number of foreign franchisors. They served as motivators and inspiration for the local entrepreneurs.
Franchising for years has been the monopoly of food sector. It was only in mid-1990′s that service and retail entrepreneurs used franchising.
There was an absence of franchise education in the country for decades. Franchise Conference and Seminars started only in the mid-90′s. Franchise Associations were also formed with the vision of professionalizing and standardizing the franchising as well as police their own ranks.

Online video advertising involves more than simply creating terrific looking video ads. Just as with television advertising, you need to get your ads in front of a targeted audience. No matter how well crafted your video ads may be, if they aren’t seen by your audience, they will be ineffective. Fortunately, the Internet is loaded with terrific places to display your message.
Contacting Webmasters Directly
You could contact individual websites directly and inquire about video advertising. However, doing so could be time-consuming. If you know of a high traffic website that appeals to your desired demographic, contacting the site’s webmaster or owner directly could be the start of a fruitful relationship. You might even be able to work out a reciprocal advertising agreement.
In addition to the sites that you already know might be a good platform for your video ads, use Google to find sites in your niche that offer advertising space. Do this by entering keywords for your industry followed by the words “advertise with us” in quotes. For example, if you run a genetic testing service for people interested in finding out their heritage, having a video ad on genealogy sites would make sense. Enter: genealogy “advertise with us” into Google and look through the search engine results. You’ll find a number of genealogy sites interested in hosting advertisements. By placing your online video ads on sites that attract the same demographic your service appeals to, your ads will appear before a targeted audience.
The downside to this approach is that you’ll need to do a great deal of research to find sites that have a large enough viewership to invest in. After all, the site may appeal to your audience but if the website only has three or four visitors each month, advertising on it won’t make much sense.
Online Video Advertising Networks
Online video advertising networks have huge networks of sites that accept video ads. Like other online advertising models, online video advertising is often priced using a cost per click model. Other options include cost per thousand impressions. While the pricing may vary from one network to the next, most networks provide you with reporting tools that detail your video ads’ reach. For example, reports detail the number of clicks your ads receive, impressions, video completion rates (how many people watched your video all the way to the end), reach and frequency, and more.
A simple search engine search for “video advertising networks” will serve up dozens of networks from which to choose. One of these networks, SpotXchange, allows you to upload your existing video ads which are then transcoded into a variety of video formats required by different publishers. From there, you browse the “marketplace” for ad impression opportunities. This is an auction-like marketplace where pricing varies based on supply and demand much like bidding for keywords for pay per click ads. Once you’ve activated your campaign, your video ads will be inserted and start appearing on partner websites. This site allows you to advertise locally as well as nationally and it does not require a long term contract.
Other well known online video advertising networks include: BrightRoll, YuMe, and TremorMedia.
Search Engine Video Advertising
Another option for your video ads is to place your ads through a search engine video advertising platform such as Yahoo! Advertising or the Google Content Network. These networks offer several video advertising options including in-stream video ads and click to play video ads. In addition to hosting your video advertising, other advertising options are available.
Online video advertising allows you to get your message in front of your audience, even if your audience is visiting websites other than your own.
With several payment models and detailed campaign reports, you can actively manage your video advertising in real time and your advertising may be more affordable than expected.

What are varicose veins?
The circulatory system is made up of the heart, veins, and arteries. Arteries carry oxygen-rich blood from the heart to nourish your tissues, while veins have one-way valves which channel oxygen-depleted blood back toward the heart. If these valves are damaged, the blood pools in the leg veins and leads to feelings of fatigue, heaviness, aching, burning, itching, cramping, restlessness, swelling and even eczema and leg ulcers.
What causes varicose veins?
Heredity causes most varicose veins. If one of your parents has varicose veins, your risk of having them is about 70%. Other predisposing factors include obesity, leg injury, multiple pregnancies and standing occupations, such as nurses, teachers, and barbers.
Are varicose veins a threat to my health or are they just cosmetic?
Varicose veins indicate that the pressure in the veins of the legs is too high (a condition called venous hypertension). Longstanding venous hypertension can result in damage to the deep leg veins and to the overlying skin. Impairment to the deep veins can lead to blood clots and sometimes to sudden death from pulmonary embolism. Blood clots are especially frequent if you are confined on a long plane or car trip. Injury to the skin will result in stasis dermatitis, pigment changes, thickened skin and possibly, leg ulcers with scarring. In addition, venous hypertension can cause pain, fatigue and swelling of the legs. The presence of increasing numbers of spider veins may also suggest venous hypertension.
Can these veins develop in one leg and not the other? Most patients develop varicose veins in both legs. However, the severity of the varicosities will differ. Some may require treatment, while others may only require compression stocking therapy.
Are all varicose veins visible from the outside?
No. Varicose veins may be deep enough that they are not visible. A duplex ultrasound evaluation of your legs is the best way to detect all varicose veins. This is a painless, noninvasive test using sound waves to detect the size of veins and direction of blood flow.
What are the options for varicose vein treatment?
A new procedure called endovenous laser ablation, or EVLA, has been available to treat varicose veins for about seven years. EVLA involves a nonsurgical laser procedure in which the laser fiber is inserted into the damaged vein and it is switched on, permanently sealing the vein shut. The blood that normally flowed through that vein is redirected into normal veins which carry it back to the heart. EVLA is performed under local anesthesia while you are awake and is very comfortable. Most people return to work the next day. EVLA is a safe and effective procedure that is replacing the older technique of surgical vein stripping. Another way to treat varicose veins is called foam sclerotherapy. For this treatment, no anesthesia is required and a small butterfly needle is used to deliver an FDA-approved sclerosant chemical to the veins. They immediately shrink and are cleared by the body’s metabolism over several weeks to months. This procedure is relatively painless and is very safe. Vein stripping surgery is not performed very often nowadays since these newer procedures are so safe and effective.
Do these treatments cure varicose veins? After all diseased veins are treated, most people have a remission of symptoms, leg swelling improves and the skin begins to heal, including leg ulcers. Many patients do not have problems again for years. Due to many factors including heredity, however, some people are predisposed to future problems. Since there is no way to prevent other veins from becoming damaged, varicose veins may be an ongoing challenge for some patients.
Will my varicose vein treatment be very painful?
The degree of pain that a patient experiences during vein treatments varies from patient to patient. The survey we conducted indicated that most patients thought the procedure to be pain-free, while a few reported experiencing a moderate degree of pain. The amount of pain is dependent on several variables, such as age, sex, weight, and pain tolerance level.
Are there any side effects of the treatments?
As with any invasive procedure, risks of vein treatments include allergic reaction to one of the medications, bleeding, postoperative pain, infection, blood clots or nerve injury. If any of these side effects occur, they are usually temporary if promptly treated.
How long after laser treatments will I be able to return to my normal routine?
Most patients return to their normal routine the next day, however, you should not resume aerobics, heavy exercise routines, running, sports or travel for at least a month after your laser treatment. It is very important to walk at least thirty minutes each day after the procedure to prevent blood clots from forming in the veins. Walking on a treadmill is fine. Extended plane or car travel should be postponed for a month after the procedure.
Does insurance cover the procedures?
Yes. These are medically necessary procedures. Without treatment, you may be at risk for worsening symptoms of pain, blood clots, and skin changes including leg ulcers.

Leather sofas are synonymous with luxury and high quality in any home. They also have an innate ability to lend a touch of class to any room. But before buying a leather sofa there are many things that need considering. Here’s a look at some important points to keep in mind.
Types of sofas
Gone are the days when your choices in various styles and colors of leather were extremely limited. Instead, today you have a wide variety of choices in the range of sofas, from sectionals and recliners to leather sofa sleepers in sizes up to queen. You also choose the more traditional straight, one piece sofa.
A sectional leather sofa is far more versatile than one that is one piece. For houses that are limited in space, it can be split and the sections placed in different rooms. Or, a section could be placed against each wall of the room, spreading them out and giving a unique type of room decor.
The comfort of reclining furniture is no longer restricted to just chairs-you can now buy sofas that recline as well. They are available in different lengths and styles, with each seat being able to recline individually. There are even some that have arm rests between the seats which can be built up from a couple of seats to as many as you want. Of course there are also leather reclining chairs too; they simply are not the only choice.
Leather sofa sleepers come in twin, full and queen. The bed part of the sofa folds like a camping cot into the body, and when closed they look just like a normal piece of furniture with no obvious signs of it being a sleeper. This really can come in handy when guests spend the night.
Types of leather
The type of leather that you choose for your sofa will have a big effect on the quality, price and longevity of your furniture. Natural, top grain leather is the hardest wearing and best quality, and therefore is also the most expensive leather you will find. Top grain is the outer most part of the hide and as would be expected is therefore the strongest. It keeps looking great for years and years.
The next layer of the hide is used to make split leather sofas. This leather may be treated in such a way as to make it look as good as top grain, but it will never be as strong. Still, many pieces of leather furniture last for thirty years or more with proper care and maintenance. Best of all, damage can be repaired.
Care and repair
Leather sofas can be cleaned with a simple soap and water solution, and dried with a soft cloth. Patches where the leather has lost its shine can be renewed by buffing with leather oil, though this may need to be a correctly color matched oil if the spot is obvious and the scuff is deep.
Home repair kits exist to patch tears, but if you are not comfortable trying, or do not get a good result, then it is advisable to consult an expert. There is nothing to match the quality of sofa or couch made from leather. It is furniture that will literally last a lifetime.
